Terms of Service
These terms govern your use of Eazo Agent Kit ("EAK") — including the GenAuth, GUMem, and Web Agent SDKs and related services we provide. By using EAK, you agree to them. If you don't, don't use the service.
1. Acceptance
By creating an account, calling our APIs, or otherwise using EAK, you agree to these Terms and our Privacy Policy. If you're using EAK on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
2. Service Description
EAK is a set of SDKs and hosted services that provide identity, memory, and action primitives for AI agents. The exact features, quotas, and SLAs depend on your subscription tier. We may change features over time; we'll give reasonable notice for material changes.
3. User Obligations
You agree to:
- Provide accurate account information and keep it up to date.
- Keep your API keys, OAuth tokens, and other credentials secret. You're responsible for activity under your account.
- Use EAK only for lawful purposes and in compliance with these Terms. No spam, no abuse, no harm to others, no circumvention of rate limits, no reverse-engineering of the service.
- Comply with applicable laws — including data protection, consumer protection, and export control regulations.
- Disclose to your end-users that an AI agent is acting on their behalf when using GenAuth-issued identities, where required by applicable law.
4. Intellectual Property
We own EAK — the code, the docs, the brand, and the underlying services — and grant you a limited, non-exclusive, non-transferable license to use it for the duration of your subscription.
You own your content — the agents you build, the data you input, the memories you store. You grant us a limited license to host, process, and display your content solely to provide the service.
5. Disclaimers
EAK is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be uninterrupted, error-free, or secure beyond what's described in your subscription tier.
AI agents built on EAK can produce incorrect, biased, or harmful outputs. You're responsible for evaluating the outputs and putting appropriate human oversight in place before they reach end-users.
6. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising under these Terms is capped at the amount you paid us in the 12 months preceding the claim, or USD 100 — whichever is greater.
7. Termination
You can stop using EAK at any time by canceling your subscription. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service in a way that puts us, our users, or third parties at risk. We'll give notice where reasonable to do so.
On termination, your right to use EAK ends immediately. Sections that by their nature should survive (IP, disclaimers, liability, governing law) survive termination.
8. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state and federal courts located in Delaware, and both parties consent to exclusive jurisdiction there.
9. Changes to These Terms
We may update these Terms as the product evolves. For material changes we'll give 30 days notice by email and on this page. Continued use after the effective date means you accept the updated Terms; if you don't agree, stop using the service before the effective date.
